Version 2026-11-03-draft.2
Terms of Service
The agreement between CPA Practice Hub and the firm that subscribes.
Draft — pending attorney review. This outline shows the topics these terms will cover. It is not yet a binding agreement and must not be relied on as legal advice.
1. Who these terms are between
[To be completed by counsel: the contracting entity for CPA Practice Hub, the subscribing firm, and who may accept on the firm's behalf.]
2. The service
- What the service is: a workspace for organizing a CPA firm's clients, deadlines, document checklists, review stages, and independence register.
- What the service is not: it does not prepare, sign, or file returns; it does not provide tax, legal, or accounting advice.
- A licensed CPA at the firm reviews and approves all client-facing work. The service never files, sends to a firm's clients, or posts on its own.
3. Accounts, seats, and roles
- The firm owner is responsible for who is invited and what role they hold.
- Seats are purchased per the selected plan; every active member uses a seat.
- Users keep their credentials and recovery codes confidential. Two-factor sign-in is required for every user.
4. Fees, billing, and taxes
- Plans, seat counts, billing intervals, and any trial are as shown at checkout.
- Payments are processed by Stripe. [Counsel: renewal, price changes, taxes, refunds.]
- Late payment: a grace period, after which the workspace becomes read-only until payment is made.
5. Cancellation and what happens to data
- The firm can cancel at any time through the billing portal; cancellation takes effect at the end of the paid period.
- After the subscription ends, the workspace is read-only for 30 days and a full export is available.
- The workspace then closes. [Counsel: retention period and deletion, aligned with the firm's professional record-retention obligations.]
6. Firm data and confidentiality
- The firm owns its data. The provider processes it only to deliver the service (see the Data Processing Agreement).
- [Counsel: confidentiality obligations, including taxpayer information safeguards.]
7. Acceptable use
[To be completed by counsel.]
8. AI features
AI features are off. They stay off until the firm's data agreement is in place and the firm turns them on. See the AI-Use Acknowledgment.
9. Warranties, liability, and indemnities
[To be completed by counsel.]
10. Changes to these terms
[To be completed by counsel: notice and acceptance of new versions.]
11. Governing law and disputes
[To be completed by counsel.]
12. Contact
[Support and legal contact details.]
